For a contract to be valid under South African law, five essential elements must be present: consensus, capacity, lawfulness, possibility of performance, and certainty.

  • Consensus — the parties must agree on the same terms (meeting of the minds).
  • Capacity — parties must have the legal capacity to contract.
  • Legality — the contract's purpose must not be contrary to law or public policy.
